These Terms of Service ("Terms") form a binding agreement between you ("Customer," "you," or "your") and PrasanthiBallada Enterprises LLC, a Texas limited liability company doing business as AI Ethos Live ("AI Ethos Live," "we," "us," or "our"). These Terms govern your access to and use of our website at aiethoslive.com, our application, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you individually and that organization.
If you do not agree to these Terms, do not access or use the Services.
AI Ethos Live is an AI governance platform that helps organizations inventory, assess, and monitor their use of artificial intelligence. The Services are designed to support regulated-industry customers, including those operating in pharmaceutical, oil and gas, manufacturing, and similar sectors. The Services are not a substitute for legal counsel, regulatory advice, or professional compliance services. You are responsible for determining whether the Services meet your legal, regulatory, and operational requirements.
You must be at least 18 years old and capable of entering into a binding contract under applicable law to use the Services. The Services are not intended for personal, family, or household use. You may not use the Services if you are prohibited from receiving services under the laws of the United States or any other applicable jurisdiction.
To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep that information up to date. You may sign in using Google Sign-In or other authentication methods we make available.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at prasanthi@prasanthiballada.com if you suspect any unauthorized use of your account. We are not liable for losses arising from your failure to protect your credentials.
If your account is provisioned by an organization, that organization controls your account and may access, disable, or delete it. The organization's administrator is responsible for managing user access, data handling policies, and compliance within its AI Ethos Live workspace.
The Services may be offered under free, paid, pilot, or enterprise subscription plans. The features, limits, and pricing of each plan are described at the point of signup or in a separate order form or agreement.
Fees are billed in advance on the billing cycle specified at signup (monthly or annually, unless otherwise agreed). All fees are non-refundable except where expressly stated in these Terms or a signed agreement, or where required by applicable law.
Fees do not include taxes, duties, or similar governmental assessments. You are responsible for all applicable taxes, except for taxes imposed on our net income.
Payments are processed by third-party payment processors. By providing payment information, you authorize us and our processor to charge the applicable fees to your designated payment method.
We may suspend or terminate your access if fees are past due. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
You retain all rights to the content and data you upload, submit, or generate within the Services ("Customer Content"). These Terms do not transfer ownership of Customer Content to us.
You grant AI Ethos Live a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as formatting), transmit, and display Customer Content solely as needed to provide and improve the Services, comply with law, and enforce these Terms. This license ends when Customer Content is deleted, except as necessary for backups, legal obligations, or aggregated and de-identified data retained in accordance with our Privacy Policy.
You are solely responsible for Customer Content. You represent and warrant that:
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback without restriction.

The Services may include artificial intelligence, machine learning, and automated reasoning features. You acknowledge the following:
AI Ethos Live and its licensors own all right, title, and interest in and to the Services, including all software, interfaces, content (excluding Customer Content), trademarks, service marks, logos, and documentation. Except for the rights expressly granted in these Terms, we reserve all rights.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the term of your subscription.
"AI Ethos Live," the AI Ethos Live logo, the "Governance for AI. Before AI Governs You." tagline, and related marks are trademarks of PrasanthiBallada Enterprises LLC. You may not use these marks without our prior written permission.
Each party may have access to non-public information of the other party that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Each party agrees to:
Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed without use of the disclosing party's Confidential Information, or lawfully received from a third party without a duty of confidentiality.
We maintain administrative, technical, and physical safeguards designed to protect the Services and Customer Content against unauthorized access, disclosure, alteration, and destruction. Our security program is designed consistent with recognized frameworks, including the SOC 2 Trust Services Criteria. Specific security commitments may be set forth in a Data Processing Agreement, Business Associate Agreement, or separate security addendum between you and AI Ethos Live.
Unless a separate service level agreement (SLA) is signed with you, the Services are provided on a commercially reasonable best-effort basis. We do not guarantee uninterrupted or error-free operation. Support is provided through the channels described on our website or in your subscription plan.
The Services may link to or integrate with third-party services, including cloud platforms, authentication providers, and AI model providers. Your use of those services is governed by their terms and privacy policies. We are not responsible for the availability, content, or practices of third-party services, and your reliance on them is at your own risk.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, AI ETHOS LIVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
AI ETHOS LIVE DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, OR BE FREE OF ERRORS. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER THE SERVICES ARE APPROPRIATE FOR YOUR REGULATORY, LEGAL, AND OPERATIONAL NEEDS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI ETHOS LIVE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless AI Ethos Live and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
These Terms remain in effect while you use the Services. Paid subscriptions continue for the term described at signup or in your order form and renew automatically unless cancelled in accordance with your plan.
You may stop using the Services at any time and cancel your subscription in accordance with your plan. Fees paid for the current billing period are non-refundable unless otherwise stated.
We may suspend or terminate your access to the Services, with or without notice, if:
Upon termination, your right to access the Services ends. We will make Customer Content available for export for a reasonable period after termination, after which we may delete it. Sections of these Terms that by their nature should survive termination (including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) will survive.
We may modify the Services at any time, including adding, removing, or changing features. We may also update these Terms from time to time. When we make material changes to these Terms, we will update the Effective Date and provide notice through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 19.3, any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the personal jurisdiction of those courts.
For customers located in the United States, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (except for claims for injunctive relief related to intellectual property) will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration will be Austin, Texas. The arbitrator's decision will be final and binding.
YOU AND AI ETHOS LIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
You may opt out of the arbitration agreement by sending a written notice of opt-out to prasanthi@prasanthiballada.com within 30 days of first accepting these Terms. The notice must include your name, email, and a clear statement that you wish to opt out.
The Services may be subject to U.S. export control laws, including the Export Administration Regulations, and sanctions administered by the Office of Foreign Assets Control. You agree to comply with all applicable export and sanctions laws and represent that you are not located in, or a resident of, any country subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted-party list.
If you are a U.S. federal agency or prime contractor on a U.S. federal contract, your use of the Services may be subject to the Federal Acquisition Regulation (FAR) and agency-specific supplements. Additional terms may apply pursuant to a separately executed federal addendum or an order placed through a federal schedule or marketplace. In the event of a conflict, the terms of the federal addendum or order control.
These Terms, together with our Privacy Policy and any separately signed agreements, constitute the entire agreement between you and AI Ethos Live regarding the Services and supersede all prior agreements and understandings.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms will not be a waiver of our right to do so in the future.
Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, labor disputes, internet outages, or government actions.
The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
Notices to AI Ethos Live should be sent to prasanthi@prasanthiballada.com. Notices to you will be sent to the email associated with your account or posted through the Services.
